These Terms of Service ("Terms") govern your access to and use of the services operated by NoteGuild, Inc. ("NoteGuild", "we", "us", or "our"). By using NoteGuild, you agree to these Terms.

1. Eligibility and Account Security

You must be at least 13 years old to use NoteGuild. If you are under the age of majority where you live, you may use the service only with any consent or supervision required by applicable law.

You must be legally capable of entering into a binding agreement to use NoteGuild. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

2. The Service

NoteGuild provides tools to create, organize, upload, store, share, discuss, and discover ideas and related materials, including markdown files, PDFs, LaTeX documents, comments, thought groups, friendships, and direct messages. Features may change over time, and we may add, modify, suspend, or discontinue features at any time.

3. Visibility, Sharing, and Social Features

You control whether content is private, limited to a thought group or invited collaborators, or public. You are responsible for understanding the audience you choose and for sharing only content you have the right to share.

By making content public, you understand that it may be viewed, copied, discussed, indexed, linked, summarized, quoted in limited excerpts, or referenced by other users and automated product features.

4. User Content

You retain ownership of the content you submit, upload, or create on NoteGuild. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, display, and otherwise use your content as necessary to operate, improve, secure, and provide the service, including search, recommendation, moderation, backup, and AI-assisted organization features.

You represent and warrant that:

  • you own or control the rights needed to provide the content;
  • your content does not violate the law or the rights of others; and
  • your content complies with these Terms and our policies.

5. Acceptable Use

You may not use NoteGuild to:

  • violate any law or regulation;
  • infringe intellectual property, privacy, publicity, or other rights;
  • upload malware, malicious code, or harmful files;
  • harass, threaten, stalk, exploit, or defraud others;
  • send spam, scrape the service without permission, or interfere with system integrity;
  • attempt unauthorized access to accounts, infrastructure, or data; or
  • use the service to distribute unlawful, abusive, sexually exploitative, or otherwise prohibited material.

We may investigate violations and remove content, suspend features, restrict visibility, or terminate accounts when necessary to protect users or the service.

6. Moderation and Enforcement

We may use automated and human review to detect abuse, policy violations, spam, fraud, and security issues. Enforcement can include warnings, content removal, demonetization if later introduced, account restrictions, thought-group restrictions, or permanent termination.

7. Copyright and Complaints

If you believe content on NoteGuild infringes your copyright or other rights, contact us at copyright@noteguild.app with enough detail for us to review the claim. We may remove or disable access to allegedly infringing content while we evaluate complaints.

8. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using the service, you acknowledge that we may process personal information as described there.

9. Third-Party Services

The service may depend on or link to third-party services, storage providers, identity providers, or integrations. We are not responsible for third-party services or content that we do not control.

10. Disclaimers

NoteGuild is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted operation, perfect accuracy, or that public or shared content will always remain available.

11. Limitation of Liability

To the maximum extent permitted by law, NoteGuild, Inc. and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising from or related to the service.

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service will not exceed the greater of one hundred U.S. dollars (USD $100) or the amount you paid us, if any, in the twelve months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless NoteGuild, Inc. and its affiliates, officers, employees, and agents from claims, liabilities, damages, losses, and expenses arising out of your content, your misuse of the service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, created risk for other users, or exposed us to legal or security risk.

Sections that by their nature should survive termination will survive, including licenses, disclaimers, limitations of liability, indemnity, dispute terms, and record-retention obligations.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version here and revise the effective date. Your continued use of the service after the updated Terms take effect means you accept the revised Terms.
